Brand Name Reservation-Overview
Section 4(4) of the Companies Act, 2013, requires reservation of name by making an application to the Registrar of Company (ROC) as- (i) the name of a proposed company; or (ii) The new name to which an existing company proposes to change its name. The procedure of making the application is listed in the index under Rule 9 of the Company (Incorporation) Rules, 2014. An application for reservation of name gets filed through Form No. INC-1 accompanied fees as provided under the Companies (Registration offices and fees) Rules, 2014.
A company name can be reserved as a name for a proposed company or change of name of an existing company through an application called RUN (Reserve Unique Name) by the Ministry of Corporate Affairs. This application can be facilitated only by a registered user of the MCA portal. The applicant may submit two proposed names and the suffix with the Application Fee of Rs. 1000. The application will be processed and scrutinized by the Central Registration Centre (CRC) for Company Name Availability Guidelines and Trademark laws.

The Important Steps to Reserve a Brand Name Are:
1. Login to MCA Portal
Only registered users of the MCA can file the application to reserve the name. Hence, if one does not have an account, then one has to create an account prior to name reservation. One has to select the category from “Register user” or "Business user" and enter all required details to create an account.
2. Documentation
It is not compulsory to attach any document along with the application to reserve the brand name. But in case more information is to be provided, then one can attach it in PDF format. It can be any of the following documents as mentioned:
- Type of company such as New company, OPC, Producer company or any other company,
- Whether it's a new request or a re-submission,
- CIN if there is a change in the name of the brand,
- Provide two proposed names of the company/brand
- Business activity of the company and other related information
3. Fiiling of Web-Based Application
After receiving the notification by MCA, different types of company can opt for following e-forms to file their application.
FOR PRIVATE LIMITED COMPANIES:
The reservation of name for PLC companies are categorised into two parts:
a) For the Incorporation of a new company: New Spice+ Part A form can be filed to make a reservation of brand /business name.
b) For a change in the name for an existing company, one needs to file a RUN Form by MCA.
FOR LIMITED LIABILITY PARTNERSHIP:
To reserve a unique brand name, you need to file the RUN LLP form.
4. Payment of The Government Fee
The fee for the name application of a Private Limited Company is Rs. 1000/- and for a Limited Liability Partnership is Rs. 200/-. After applying, you need to pay the requisite government fees online through a credit/debit card or NEFT. The fee paid is non-refundable.
5. Approval/ Resubmission
The MCA will process the application in 2-3 working days after submission of the application. You can check the brand name status on the MCA portal from MCA services – Track SRN/Transaction status. If MCA finds the name available, the ministry will approve the name and dispatch the name approval letter. Otherwise, it will send an application notifying re-submission. In such a case, the application status will be “sent for resubmission,” and an email will be sent to the registered e-mail address.
If the name is not approved in the second chance, then the application shall be rejected. Then the applicant has to submit a new application.
A company name approved through the RUN portal is valid for 20 days from the date of approval in case the name is reserved for a new company or 60 days from the date of approval in case of a change of name of an existing company.
Or else, the applicant can apply through the integrated SPICE Application for company registration. In that case, the applicant can only give one name and two re-submissions for requesting approval.
