Eligibility for Section 8 Company Registration in India
An individual or group of individuals can apply for Section 8 Company Registration if they have the following objectives.
- If the company aims to promote science, arts, commerce, education, sports, charity, research, social welfare, cultural welfare, protection of the environment, environmental awareness or other objectives.
- If the interest of the company is to invest all the profits or the income generated after incorporation towards the promotion of such objectives only
- The company is not intending to pay any dividends or share of profits to its members.

Section 8 Company Registration Process in India
For NGO registration as Section 8 Company, the registration process involves the following steps:
- 1. The first step is to obtain the DSC for the proposed Directors of the Section 8 Company.
- 2. After obtaining the DSC, form DIR 3 is to be filed with the ROC for getting a Director Identification Numbers.
- 3. After the DIR 3 is approved, the Director Identification Number will be allotted by the ROC to the proposed Director.
- 4. Next step is to file the Form INC 1 with ROC to apply for the name of the company.
- 5. After the approval of the name, the license for the Section 8 Company is to be applied for, that is Form INC 12 is to be filed.
- 6. Upon approval, a license under section 8 will be issued in Form INC 16.
- 7. After obtaining the license, SPICe Form 32 is to be filed with the ROC for incorporation along with the affidavits, KYC, declarations, consent letter, MOA and AOA.
If the ROC is satisfied with the submitted forms and documents, then the ROC shall issue the Certificate of Incorporation.
